Service Terms
These terms are a general framework. The accepted proposal, agreement or statement of work defines the specific scope, deliverables, timeline and fees and takes precedence where it contains more specific terms.
Scope and deliverables
Firstidea provides only the services and deliverables described in the accepted proposal. New functionality, pages, content, migration, integration or revision rounds are scope changes unless expressly included.
Client responsibilities
The client provides timely access, content, approvals, lawful usage rights and accurate business rules. Delays or incomplete inputs may move the delivery schedule.
Fees, payment and change control
Fees, instalments, taxes and payment terms are defined in the proposal or invoice. Additional work starts after estimate and approval. Late payment may suspend non-critical work as allowed by the agreement.
Third-party software and services
CMSs, plugins, themes, fonts, APIs, hosting, payment, courier and other third-party services have their own licences, prices and service levels. Future third-party changes may require additional work.
Delivery, review and acceptance
The client reviews deliverables in the agreed environment and reports documented deviations within the review period stated in the proposal. Preferences or new requirements are not necessarily defects.
Support, ownership and access
Post-delivery support is provided only when included or agreed separately. Ownership and licences are defined per deliverable; pre-existing tools, libraries and third-party rights are not transferred beyond their licences.
Liability, termination and law
Each party remains responsible for its obligations. Liability limits, termination, file handover and governing law are detailed in the proposal or agreement and apply to the extent permitted by law.
